How can an H-1B holder participate in a start-up in addition to his regular job?
Q. An H-1B holder cannot actively participate in a job which for which he is not sponsored. The only permitted participation is of a "passive investor". Is there still a way to set up a compesation contract of some sort? (e.g. stock options, a compensation in form of dividends rather than a salary).

A. US Corporations need to have a majority of the owners being US Citizens. This means that a minority of the owners can be non-US citizens. Many start-ups are hurting for capital, so they offer their employees a lot of stock instead of a lot of pay. This way if the company successful, when it goes public stock, the early employees get big capital gains.
